The course is designed for international LLM students, as well as in-house and external practitioners who are interested in gaining a comprehensive and comparative understanding of the legal and commercial aspects of international mining transactions and the opportunities and challenges they present for lawyers, investors, and stakeholders.

Course Description

This course provides an overview of the legal and practical aspects of international mining transactions, covering the main stages and types of deals in the sector. These include:

· Exploration, development, production, joint ventures, mergers and acquisitions, and divestments

· Key financing sources and instruments for mining projects, such as equity, debt, streaming, royalty, and offtake agreements, and the related due diligence, security, and covenant issues

· The general contractual framework for mining operations, such as mining licenses, concessions, leases, contracts of work, and mineral agreements, and the relevant regulatory, environmental, social, and governance (ESG) standards and risks that affect mining activities, such as human rights, indigenous rights, community engagement, anti-corruption, disclosure, and compliance.

· The geopolitical factors and challenges that influence the mining industry, such as resource nationalism, political stability, taxation, arbitration, and sanctions, and the strategies and best practices for managing and mitigating them. The course is delivered by three experienced practitioners in the mining sector, with diverse backgrounds, so as to provide different perspectives and experience regarding legal concepts and skills in real-world scenarios.
